NO AMENDMENT OR WAIVER:

The Terms and Conditions may not be amended except in writing signed by both parties and no waiver by either party shall be deemed a waiver of any preceding or subsequent breach or default, unless such a waiver is in writing and signed by an authorized representative of ATLANTA JET, INC.

ACCEPTANCE AND JURISDICTION:
